Terms of Service

Effective date: October 16, 2026 · Retain Bridge LLC, Minnesota ("Retain Bridge," "we," "us").

These Terms are a business-to-business agreement between Retain Bridge and the business that signs up ("you," "Customer"). By signing an order, paying an invoice, or using the service, you agree to them. If you sign up for a company, you confirm you can bind that company.

1. The service

Retain Bridge sets up and runs automated text messaging for your business: missed-call text-back and lead alerts on every plan; on Follow-Up Pro and Done-For-You, also bid follow-ups, review texts, the Friday check-in and a monthly report; and on Done-For-You, answering and booking estimates during business hours, old-quote follow-up and Google Business Profile care (the "Service"). Features we describe as "Coming soon" or "Waitlist" are not yet available, and we do not charge for a plan's waitlisted features before they are live. Customer-facing texts begin only after phone carriers approve your business texting registration, which usually takes about 2–3 weeks and is outside our control.

2. Plans and fees

  • Text-Back: $129 per month, no setup fee. Follow-Up Pro: $297 per month plus a one-time $249 setup fee. Done-For-You: $597 per month plus a one-time $499 setup fee; offered by waitlist and limited to 5 clients.
  • Founding clients: clients who sign up during our founding period on Follow-Up Pro or Done-For-You have the setup fee waived and their monthly price locked for 12 months from go-live.
  • Fair use: Text-Back includes up to 150 leads per month; Follow-Up Pro and Done-For-You include up to 500 conversations per month. If you regularly go over, we will contact you to discuss a plan that fits; we will not charge overages without your written agreement.
  • Setup: any setup fee is one-time and charged at signup. Setup covers your number, message writing and testing, and carrier registration handled during setup.
  • Prices exclude applicable taxes, which you pay if they apply.
  • Your order or invoice controls if it lists a different price or plan.

3. Billing and auto-renewal

  • Your monthly plan starts on the day customer-facing texting goes live.
  • The Service renews automatically each month, and we charge your payment method on file (or invoice you) at the start of each monthly period until you cancel.
  • If a payment fails, we may pause the Service after giving you notice and 7 days to fix it.
  • We may change prices with at least 30 days' email notice. The new price applies from your next billing period after the notice.

4. Term and cancellation

The Service is month to month with no long-term contract. You may cancel anytime by emailing hello@retainbridge.com. Cancel anytime; service runs through the end of your paid month, no further charges. Your cancellation takes effect at the end of the monthly period in which we receive your notice, and we will not charge you again after that. There is no cancellation fee and no notice period.

5. Refunds

  • Setup fee: refundable in full if you cancel before carrier registration starts. Once we submit your carrier registration, the setup fee is non-refundable.
  • Monthly fees: no refunds or credits for partial months or unused time.
  • If carrier registration is finally rejected for reasons we cannot fix, we will not start or charge your monthly plan.

6. Carrier registration (A2P 10DLC)

U.S. carriers require businesses that text customers from a standard local number to register a brand and messaging campaign (known as A2P 10DLC). We prepare and submit this registration for you, using information you provide, which must be accurate. Carriers and The Campaign Registry charge registration and per-message or monthly fees; these are handled during setup and through your plan unless we tell you in writing that a carrier has added a new or higher fee, in which case we may pass it through at cost with notice. Carriers decide whether to approve registrations, and can filter, delay or block messages at their discretion.

7. Your responsibilities: consent and compliance

You are the sender of record for messages sent for your business, and you are responsible for complying with all messaging laws and rules, including the Telephone Consumer Protection Act (TCPA), state telemarketing and texting laws, the CTIA Messaging Principles and Best Practices, and carrier policies. In particular you agree to:

  • Text only people who contacted your business or gave the consent the law requires for that type of message, and keep records of that consent.
  • Honor STOP and other opt-out requests right away, and never re-text someone who opted out unless they opt back in.
  • Keep messages to reasonable hours (we default to 9 AM–8 PM recipient local time).
  • Not offer incentives for reviews, and not filter who receives review requests in violation of platform rules or law.
  • Give us accurate business information and tell us promptly about any complaint, legal demand or carrier notice about your messages.

We provide default templates and opt-out handling, but that is not legal advice and does not shift your compliance responsibility to us.

8. Acceptable use

You may not use the Service to send spam, unsolicited marketing, or messages that are illegal, deceptive, harassing, or that involve prohibited content under carrier rules (for example cannabis, firearms, high-risk lending, gambling, or "SHAFT" content). You may not resell the Service, interfere with it, or use it to collect data unlawfully. We may suspend messages immediately if we reasonably believe use violates this section or puts our carrier accounts at risk.

9. Availability; no uptime guarantee

We work to keep the Service running reliably, but we do not guarantee any level of uptime or that every call will be detected or every message delivered or delivered on time. Maintenance, outages at our providers, carrier filtering and network issues can affect the Service. The Service is provided "as is" and "as available," and we disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the extent the law allows.

10. Third-party providers

The Service relies on third parties, including Twilio (phone numbers and messaging), wireless carriers, and hosting, email and payment providers. Their terms may also apply, and we are not responsible for their acts, outages or policy changes. If a provider changes its rules or pricing in a way that affects the Service, we may change the Service to match, with notice when practical.

11. Data and privacy

We handle caller and message data as described in our Privacy Policy and SMS Terms. You own your customer data. You give us permission to use it only to provide, support and improve the Service and to comply with law. We do not sell it.

12. Intellectual property

We own the Service, our software, templates, workflows and website, and all improvements to them. You get a limited, non-transferable right to use the Service during your subscription. You keep ownership of your business name, logo and content, and let us use them to run your messages. Messages we write for you may be used by your business during and after the subscription. If you send us feedback, we may use it freely.

13. Limitation of liability

To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost jobs or lost revenue, even if told they were possible; and (b) our total liability for all claims relating to the Service is limited to the fees you paid us in the 3 months before the event giving rise to the claim. These limits do not apply to your payment obligations or your indemnity duties.

14. Indemnity

You will defend, indemnify and hold harmless Retain Bridge LLC and its members and contractors from any third-party claims, fines, penalties and costs (including reasonable attorneys' fees) arising from your messages, your customer data, your lack of required consent, your violation of the TCPA or other law or carrier rules, or your breach of these Terms.

15. Suspension and termination

We may suspend or end the Service if you don't pay, breach these Terms, or your use creates legal or carrier risk; we will give notice when practical. We may also end the Service for any reason with 30 days' notice, refunding any prepaid fees for time after the end date. When the Service ends, messaging stops, and we can help you port your number where the carrier allows. Sections 5, 7, 12, 13, 14 and 16 survive.

16. Governing law and venue

These Terms are governed by Minnesota law, without regard to conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in or serving Scott County, Minnesota, and both parties agree to that jurisdiction.

17. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and email active customers at least 30 days before material changes take effect. Continuing to use the Service after that means you accept the change; if you don't, you can cancel before it takes effect.

18. General

These Terms, plus any order or invoice, are the entire agreement. If a part is unenforceable, the rest still applies. Not enforcing a right is not a waiver. You may not assign these Terms without our consent; we may assign them with a sale or reorganization of our business. Neither party is liable for delays caused by events beyond its reasonable control. Notices may be sent by email.
